This analysis covers the information disclosed by Deutsche Bank, Deutsche Postbank and Deutsche Post AG with respect to the agreement between Deutsche Bank and Deutsche Post which provides for the acquisition by Deutsche Bank of the control of Deutsche Postbank.
Based on its first analysis of the available information, Deminor believes that the minority shareholders of Deutsche Postbank have been unduly deprived of their protection under the mandatory bid rule as provided for under German law and European law. Since the agreement between Deutsche Bank and Deutsche Post provides for the transfer of control of Deutsche Postbank, Deminor considers that Deutsche Bank should have launched a mandatory bid.
You will find more details in the Deminor European Alert which is available via this link.
Deminor has already sent a letter to the German market authority, BaFin, in which Deminor's opinion and concerns are further detailed. This letter is also available via this link.
