Job - Senior Analyst with legal background

Job Description

 

As Senior Legal Analyst, you will be involved in our shareholder engagement assignments, including on behalf of the Deminor Active Governance Fund (DAGF, www.dagfund.com) and the Governance Platform (www.governanceplatform.com). You will also be involved in Deminor public cases on behalf of large groups of shareholders and investors such as Fortis and National Bank of Belgium.

 

You will be part of an experienced team of lawyers and financial analysts, working under the direct supervision of the partners in charge of shareholder engagement activities and public cases.

 

You will be involved in a variety of assignments and cases relating to listed companies in several European countries, working for institutional or private clients.

 

You will actively contribute to the preparation and implementation of shareholder engagements and public cases. You will be asked to provide legal advice on shareholder and corporate governance matters, as well as on special situations (takeovers, mergers, etc.), represent clients at shareholders meetings or in discussions with the management and other shareholders, take part in negotiations, etc. You will also provide assistance in legal procedures, draft legal documents, offer legal support to settlement transaction negotiations, etc.

 

You will establish and maintain contacts and relations with existing clients. As we like to have our team fully involved in our assignments, you will also participate in identifying new assignments, negotiating and drafting mission letters, and in all other aspects of our missions, including preparing press releases or press conferences.

You will be based in Brussels, but travelling to our other offices whenever needed.


Your profile

 

You have an outstanding academic education with a legal background (master in law). You have 4 to 5 years ‘on-the-job' experience as a lawyer, in a law firm or in a legal environment, with a clear focus on corporate law (including corporate litigation) and financial law. Additional background in economics, finance or management is a plus.

 

You are a native Dutch speaker and you are fluent in French and English. Knowledge of a fourth language (Spanish or German) will be considered as a plus.

 

You have relevant experience to tackle the Deminor activities and workload. E.g. you have been involved in shareholder advisory assignments for private or institutional clients, drafting legal documents, negotiating corporate finance transactions, assisting in due diligence or in corporate litigations, etc.

 

You are a team player with good communication skills. You have strong analytical and drafting skills, and are able to make outstanding client presentations. You feel very comfortable addressing large audiences and speaking in public. You are able to actively take part in discussions and negotiations with senior executives, lawyers, regulators, etc.

You like to set to yourself high targets and are committed to achieve them. You are results oriented and you are able to work under time pressure.

 

The challenge of a business development and team building is what you are looking for, and you are not afraid to be ‘hands on' within a small organization.

 

You are used to work with software applications such as Word, Excel and Power-Point, and with legal or financial databases.
